Our Corporate Finance team, led by Jack Griggs, supported TSA Riley in originating the cross-border acquisition of D2 Global Ltd, whilst also providing end-to-end buy-side advisory. Financial due diligence was led by Nikul Patel and tax due diligence by Business Tax Partner, Phil Snell.
TSA Riley is a global property and infrastructure project consultancy headquartered in Australia. Backed by Quadrant Private Equity, TSA Riley helps clients plan, deliver, and optimise their built assets.
As part of its strategic growth strategy, TSA Riley has completed the acquisition of D2 Global Ltd, an independent project management consultancy specialising in programme management and infrastructure capital works, particularly in transport and rail. This acquisition expands TSA Riley’s UK infrastructure offering and establishes a presence in the Canadian market, bringing its global team to 1,100 professionals. This is TSA Riley’s fourth acquisition since 2023.
Andrew Tompson, CEO of TSA Riley, commented: “We are delighted to welcome D2 to TSA Riley. They are widely respected for their innovation, intelligent solutions, and strong delivery. We share a common culture, aligned ambitions, and a deep commitment to sustainability. Together, we’re now able to offer deeper expertise and broader global reach for our clients, while creating greater opportunities for our teams.”
John Harris, CFO of TSA Riley, commented: “This acquisition significantly advances TSA Riley’s growth, expanding our UK infrastructure offering and marking our entry into the Canadian market. JCK played a key role in identifying the best fit for our strategic growth. Their origination efforts and commercial acumen in the built environment were instrumental in delivering a successful outcome. Thank you to Jack and the team.”
Jack Griggs, Director at James Cowper Kreston Corporate Finance, commented: “We were delighted to work with the TSA Riley team again, having previously advised the partners of Henry Riley LLP on their sale to then TSA Management in 2023. This acquisition reinforces TSA Riley’s clear strategy in transport and infrastructure - expanding its UK infrastructure offering and entering the Canadian market. D2 Global’s capabilities and culture are an excellent fit, and we’re excited to see this combination accelerate TSA Riley’s growth and strengthen its position as a leading global project consultancy.”
James Cowper Kreston Corporate Finance advised TSA Riley alongside Blake Morgan (Legal).
